Please read these Terms of Service carefully. By creating an account or using Baobab, you agree to be bound by these Terms. If you do not agree, you must not use the application.

1 About Baobab and Bridge Corporation

Baobab is a global financial super-application ("the App") operated by Bridge Corporation ("we", "us", or "our"). The App provides digital wallet, money transfer, bill payment, savings, investment, tontine group management, virtual card, and related financial services to individuals across 195+ countries.

Bridge Corporation is registered under the laws of the Republic of Cameroon and operates in compliance with the regulations of the Central African Banking Commission (COBAC) for African markets, and applicable financial regulations in other jurisdictions where the App is available.

2 Eligibility

Age requirement: Baobab is not intended for users under 18. If you are under 18, you may not create an account. Family Wallet features for minors require a parent or legal guardian as the primary account holder.

3 Account Registration and Security

3.1 Registration

To use Baobab, you must register with a valid phone number or email address and create a secure password. You are responsible for maintaining the confidentiality of your login credentials.

Each user may only maintain one Baobab account. Creating multiple accounts to circumvent limits, bans, or KYC requirements is prohibited and will result in permanent termination of all accounts.

4 Financial Services and Wallet

4.1 Baobab Wallet

Your Baobab wallet is a digital account that holds funds in your local currency (e.g. XAF, EUR, USD, GBP). Baobab is not a bank. Your wallet is not a bank deposit account and funds in your wallet are not insured by any deposit guarantee scheme unless explicitly stated for a specific market.

4.2 Funding Your Wallet

You may fund your wallet via mobile money (MTN MoMo, Orange Money, Airtel Money), bank transfer, card (Visa/Mastercard via Stripe), or other approved methods. All funding is subject to applicable transaction limits and KYC verification level.

Limits are subject to regulatory requirements in your jurisdiction and may be adjusted without notice.

4.4 Withdrawals

You may withdraw funds to an approved mobile money account or linked bank account. Withdrawals are subject to identity verification, transaction limits, and may be delayed or blocked for fraud prevention or compliance purposes.

5 Transfers, Payments, and Fees

Fees are deducted from the sender's wallet at the time of transaction. Exchange rates may include a small spread above the mid-market rate. The exact rate and fee will be displayed before you confirm any transaction.

5.2 Irrevocability

Once a transfer is confirmed and processed, it cannot be reversed by Baobab. If you send money to the wrong recipient, you must contact Baobab support immediately at support@baobab-bridge.org. We will make reasonable efforts to recover funds, but we cannot guarantee recovery.

5.3 Failed Transactions

If a transaction fails after funds have been debited from your wallet, the full amount will be refunded to your wallet within 3 business days.

6 Savings, Investments, and Tontine Groups

6.1 Savings Goals and Pockets

Savings Goals and Pockets are sub-accounts within your Baobab wallet. They are for personal organisation only and do not earn interest unless a specific savings product with interest is expressly offered.

6.2 Digital Gold

Digital gold products reflect the market price of gold and are provided for informational and investment purposes. Gold prices fluctuate and you may receive less than you invested. Baobab does not guarantee any investment returns.

6.3 Stock, Bond, and ETF Investing

Investing in stocks, bonds, and ETFs involves risk of loss. Past performance is not indicative of future results. Investment features are provided through Banking-as-a-Service (BaaS) partners and are subject to their terms and regulatory approvals in your jurisdiction.

6.4 Carbon Credits and Impact Investing

Carbon credits are Verra-certified credits from verified projects. Their market value may fluctuate. Impact investments carry risk of partial or total loss of the invested amount.

6.5 Tontine / Njangi / ROSCA Groups

Tontine groups are informal rotating savings groups facilitated by Baobab technology. Baobab is not responsible for disputes between group members, defaults by members, or group decisions. Group administrators are responsible for enforcing group rules. Baobab provides the technology platform only.

7 Virtual and Physical Cards

Virtual and physical Visa/Mastercard cards issued through Baobab are subject to the card issuer's terms and conditions in addition to these Terms. Cards may be used for online and in-store purchases where Visa/Mastercard is accepted. Cards are subject to spending limits based on your KYC verification level. Baobab reserves the right to suspend card access if fraudulent or prohibited activity is detected.

Elite Loan Program credit approved by Baobab may only be used for Baobab-to-Baobab transfers, bill payments, and airtime top-ups. It may not be withdrawn as cash, transferred to external bank accounts, or used for crypto purchases.

8 Identity Verification (KYC / AML)

Baobab is required by law to verify the identity of all users. We use AI-assisted document scanning (GPT-4o Vision) and manual review to verify government-issued identity documents.

Baobab complies with Anti-Money Laundering (AML) obligations under COBAC regulations, the EU's 5th Anti-Money Laundering Directive (AMLD5), and applicable US Bank Secrecy Act / FinCEN requirements.

9 Prohibited Activities

Violation of this section may result in immediate account termination, forfeiture of funds, and referral to law enforcement.

You must not use Baobab to:

Baobab employs automated fraud detection, including structuring detection (transactions just below reporting thresholds), velocity checks, and device fingerprinting. Suspicious activity is reported to relevant financial intelligence units as required by law.

10 Sanctioned Countries and Persons

Baobab is prohibited from providing financial services to residents of, or persons located in, countries subject to comprehensive international sanctions. These include, but are not limited to: North Korea, Iran, Syria, Cuba, Russia, Belarus, Myanmar, Venezuela, Sudan, and Somalia (subject to change based on OFAC, EU, and UN designations).

We use IP geolocation and identity document country-of-issuance to enforce these restrictions automatically. Attempting to circumvent geo-blocking using VPNs or other methods to access Baobab from a sanctioned country is a violation of these Terms and may be a criminal offence in your jurisdiction.

We also screen all users and transaction counterparties against the OFAC SDN list, EU consolidated sanctions list, UN consolidated list, and OpenSanctions database.

11 Intellectual Property

Baobab, the Baobab tree logo, "Born in Africa, Built for the World", and all related trademarks, service marks, and trade names are the property of Bridge Corporation. You may not use them without our prior written consent.

The App's software, design, content, and AI models are proprietary to Bridge Corporation and are protected by copyright, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the App for personal financial management purposes only.

12 Disclaimers and Limitation of Liability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRIDGE CORPORATION SHALL NOT BE LIABLE FOR:

Where liability cannot be fully excluded by law, our total liability to you in any 12-month period shall not exceed the total fees you paid to Baobab in that period, or 50,000 XAF (or equivalent), whichever is lower.

13 Indemnification

You agree to indemnify, defend, and hold harmless Bridge Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim that your actions caused harm to a third party.

14 Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Republic of Cameroon, without regard to conflict-of-law principles. For users in the European Union, mandatory consumer protection rights under EU law are not affected.

14.2 Dispute Resolution

If you have a dispute with Baobab, please first contact our support team at support@baobab-bridge.org. We will endeavour to resolve all disputes informally within 30 days.

If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the Cameroon Arbitration Centre (CAMAC) in YaoundΓ©, Cameroon, conducted in English or French. For EU consumers, you also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14.3 Class Action Waiver

To the extent permitted by applicable law, you waive any right to bring claims against Baobab on a class-action basis.

15 Termination and Suspension

15.1 By You

You may close your account at any time from Profile β†’ Settings β†’ Close Account. Closing your account will trigger a withdrawal of any available balance to your registered mobile money or bank account, minus any applicable fees. Account closure is irreversible.

15.2 By Baobab

We may suspend or terminate your account immediately, without notice, if we reasonably believe you have: (a) violated these Terms; (b) engaged in fraudulent or illegal activity; (c) created a risk of financial, legal, or reputational harm to Baobab; or (d) been identified on a sanctions list. In such cases, funds may be frozen pending investigation and we will cooperate fully with regulatory and law enforcement authorities.

15.3 Effect of Termination

Upon termination, your right to access the App ceases. Funds lawfully held in your account will be returned to you within 30 days unless subject to a regulatory hold. Sections 8 (KYC/AML), 9 (Prohibited Activities), 11 (IP), 12 (Liability), 13 (Indemnification), and 14 (Disputes) survive termination.

16 Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to you via in-app notification at least 30 days before they take effect. Your continued use of the App after the effective date of updated Terms constitutes your acceptance of the new Terms.

If you do not agree with updated Terms, you must stop using Baobab and close your account before the effective date.
